NO PURCHASE IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED. The Modern Muscle X Sweepstakes (the “Sweepstakes”) begins at 12:00:01 PM Central Time on June 1, 2010 and ends at 11:59:59 AM Central Time on December 30, 2010 (the “Sweepstakes Period”).

1. ELIGIBILITY: The Sweepstakes is open to legal residents of the 50 United States and the District of Columbia (excluding Guam, Puerto Rico, and all other U.S. and foreign territories and possessions) (the “Eligibility Area”) who are 18 years of age or older at the time of entry and have the ability to enter into valid contracts in their personal jurisdiction of residence. Only individuals may enter; no entry from any corporation or other entity shall be accepted. The Sweepstakes is VOID outside of the Eligibility Area and where otherwise taxed, prohibited or restricted. Employees and directors of RTM Productions, Inc. (“RTM”) and Prestolite Wire LLC, d/b/a Prestolite Performance (“Prestolite”), and their affiliates, subsidiaries, advertising, promotion, fulfillment, marketing agencies, public relation firms, consultants and contractors, their immediate families (defined as spouse, child, sibling, parent or grandparent) and those living in their same households are ineligible to participate in the Sweepstakes. By participating in the Sweepstakes, entrants agree to these Official Rules and to the decisions of RTM, which are final and binding in all respects.

2. HOW TO ENTER: To enter online, visit www.ModernMuscleX.com and complete and submit all required registration information. All entry information must be complete to qualify. No changes to any entry information is permitted once the entry has been submitted. All entries become the property of RTM and will not be acknowledged or returned. LIMIT ONE ENTRY PER PERSON PER EMAIL ACCOUNT PER WEEK. Entries received by RTM after the end of the Sweepstakes Period will be discarded and deemed VOID. In the event of a dispute as to who submitted an online entry, the individual who was, at the time of entry (in RTM’s sole discretion), the registered holder of the email account used to enter the Sweepstakes, will be deemed the eligible entrant. Proof of entering the Sweepstakes online will not be deemed to constitute proof of delivery or receipt of entry by RTM.

3. ALTERNATE MEANS OF ENTRY: You may also enter by visiting www.powerblocktv.com and completing and submitting all required registration information. The odds of winning the prize will be the same by alternate means of entry as by entry through the www.ModernMuscleX.com.

4. ODDS OF WINNING; PRIZE: Odds of winning are determined by and depend upon the total number of eligible entries received. A purchase will not improve your chances of winning. A total of one (1) Grand Prize will be awarded. The Grand Prize will include the following: one (1) vehicle to be selected by the Grand Prize Winner from the three (3) vehicles described below; roundtrip coach airfare for the Grand Prize Winner from the airport nearest to the Grand Prize Winner’s residence to Nashville, Tennessee (airline to be selected in the sole discretion of RTM); hotel accommodations for one night (hotel to be selected in the sole discretion of RTM); a VIP tour of the PowerBlock studios; and dinner with a PowerBlock host as determined by RTM. The approximate retail value of the Grand Prize is Forty Thousand Dollars ($40,000.00 USD).

(i) 2010 Chevrolet Camaro SS with LS3 EFI V8 engine and a 6 speed transmission. Vehicle features custom wheels and tires along with performance upgrades and styling accessories. This vehicle will have approximately 7,500 miles. VEHICLE IS PROVIDED “AS IS.” NO WARRANTY, EITHER EXPRESSED OR IMPLIED, IS PROVIDED BY PRESTOLITE, RTM OR ITS AFFILIATES. Balance of vehicle’s factory warranty is transferable.

(ii) 2010 Dodge Challenger R/T with a 5.7L Hemi EFI V8 engine and 6 speed transmission. Vehicle features custom wheels and tires along with performance upgrades and styling accessories. This vehicle will have approximately 7,500 miles. VEHICLE IS PROVIDED “AS IS.” NO WARRANTY, EITHER EXPRESSED OR IMPLIED, IS PROVIDED BY PRESTOLITE, RTM OR ITS AFFILIATES. Balance of vehicle’s factory warranty is transferable.

(iii) 2011 Ford Mustang GT with 4.6 Liter V8 engine and 5 speed transmission. Vehicle features custom wheels and tires along with performance upgrades and styling accessories. This vehicle will have approximately 7,500 miles. VEHICLE IS PROVIDED “AS IS.” NO WARRANTY, EITHER EXPRESSED OR IMPLIED, IS PROVIDED BY PRESTOLITE, RTM OR ITS AFFILIATES. Balance of vehicle’s factory warranty is transferable.

THE PRIZE WILL BE AWARDED. The value of the Grand Prize set forth above represents RTM’s good-faith determination of the retail value thereof. The prize may not be combined with any other offer. All expenses not specified above, including, but not limited to, meals, beverages, mini-bar, souvenirs, gratuities, transportation, insurance, personal services, incidentals, etc., are the sole responsibility of the winner. All trip reservations and accommodations will be as designated by RTM and are subject to black- out dates and availability. No substitution, transfer, or assignment of the prize will be permitted, except that RTM reserves the right, in its sole discretion, to substitute the prize with either the cash value of the prize that would have been awarded, or a prize of equal or greater value. THE WINNER MUST TAKE DELIVERY OF THE PRIZE ON FEBRUARY 16, 2011 AT RTM PRODUCTIONS, INC., 130 SOUTHEAST PARKWAY COURT, FRANKLIN, TN 37064. The winner will be solely responsible for titling and registering the vehicle he/she selects and acknowledges that he/she shall be solely responsible for ensuring the vehicle complies with his/her state and local motor vehicle regulations, including all safety and emissions regulations. The winner will be responsible for all applicable taxes associated with accepting the prize.

5. PRIZE AWARDING; WINNER ANNOUNCEMENT: The Grand Prize will be awarded only upon winner validation and verification by RTM. The winner will be chosen by random drawing on or about January 7, 2011 and will be notified by mail or e-mail on or about January 12, 2011. The winner’s name will be posted on www.powerblocktv.com on or about January 19, 2011. If the potential winner does not respond by email within three (3) days of being contacted by RTM, is ineligible, or fails to claim the prize, the prize will be forfeited and an alternate winner will be selected at random from among the remaining eligible entries. Acceptance of the prize constitutes permission for RTM, Prestolite, and their respective affiliates to use the Grand Prize Winner’s name, likeness and biographical information for advertising and promotional purposes without compensation, unless otherwise prohibited by law. Where permitted by law, the Grand Prize Winner will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release within ten (10) days of notification (or return the signed forms within ten (10) days of receipt), or the winner may be disqualified and the prize awarded to an alternate winner selected at random from among the remaining eligible entries.

6. DISQUALIFICATION: The use of robotic, automatic, macro, programmed or like methods (including, without limitation, the use of any promotion/sweepstakes subscription, notification, entry or like sites or services that offer sweepstakes entry services “on behalf of” an entrant) is strictly prohibited. Neither RTM nor Prestolite is responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other error of any kind whether human, mechanical, or electronic. Persons found tampering with or abusing any aspect of this Sweepstakes, as solely determined by RTM, will be disqualified. If disqualified for any of the above abuses, RTM reserves the right to terminate the person’s eligibility to participate in this and future contests or weepstakes offered by RTM. Any attempt to damage any website of RTM or Prestolite, or tamper with or undermine the legitimate operation of the Sweepstakes, is a violation of these Official Rules as well as criminal and civil laws. Both RTM and Prestolite reserve the right to seek remedies and damages from any responsible individual to the fullest extent permitted by law. In the event any portion of this Sweepstakes is compromised by any virus, bugs, non-authorized human intervention or other causes beyond the control of RTM which, in the sole opinion of RTM, corrupts or impairs the administration, security, fairness or proper play of the Sweepstakes, RTM reserves the right, at its sole discretion, to suspend or terminate the Sweepstakes. In no event will more prizes be awarded than the one listed above.

7. LIMITATION OF LIABILITY: By entering the Sweepstakes, entrants agree to these Official Rules, and to the decisions of RTM, which shall be binding and final in all respects; and acknowledge that RTM has not made nor is in any manner responsible or liable for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the prize. By participating in the Sweepstakes, each entrant releases RTM, Prestolite, and their respective officers, directors, employees, affiliates, subsidiaries, marketing partners, advertising, promotion, fulfillment, marketing agencies, public relation firms, consultants and contractors from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons (including death) and property which may be sustained in connection with the receipt, ownership, possession, use or misuse of the prize, or arising out of participation in this Sweepstakes, or while preparing for, participating in, and/or traveling to and from taking delivery of the prize or any prize-related activities. RTM and Prestolite expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prize awarded. IN NO EVENT WILL RTM, PRESTOLITE OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, ADVERTISING, PROMOTION, FULFILLMENT, MARKETING AGENCIES, PUBLIC RELATION FIRMS, CONSULTANTS OR CONTRACTORS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE AWARDED IN CONNECTION WITH THIS SWEEPSTAKES OR THE ACCEPTANCE, OWNERSHIP, USE OR POSSESSION OF THE PRIZE, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH AND/OR PROPERTY DAMAGE, AS WELL AS ANY CLAIMS BASED ON PUBLICITY RIGHTS OR INVASION OF PRIVACY. RTM assumes no responsibility for the following: lost, late, incomplete, stolen, misdirected, illegible, inaccessible, corrupted or unusable entries; incorrect or inaccurate online or printed information relating to the Sweepstakes (including typographical errors); any computer, telephone, cable, network, Internet or other hardware or software malfunctions, interruptions, failures, connections or availability; or unauthorized human intervention.

8. DISCLAIMER: Ford, Dodge, Chevrolet, Mustang, Camaro, Challenger, and Hemi and their registered trademarks are in no way connected or affiliated with this Sweepstakes or Prestolite, RTM, or their respective affiliates or sponsors.

9. GENERAL INFORMATION: Any and all disputes in connection with this Sweepstakes will be resolved solely and exclusively in the appropriate federal or state courts in Nashville, Tennessee, and the parties hereby waive any and all objections to jurisdiction and venue therein and hereby submit to the jurisdiction of those courts. Should there be a conflict between the laws of the State of Tennessee and any other laws, the conflict will be resolved in favor of the laws of the State of Tennessee. Any and all lawsuits or other disputes that arise relating to this Sweepstakes must be filed within one (1) year from the date that the Grand Prize Winner is announced. Except where prohibited, entrants agree that any and all disputes which cannot be resolved between or among the parties and any claims or causes of action arising out of or connected with this Sweepstakes, the prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action. The failure of RTM to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force.

10. PRIVACY NOTICE. By entering this Sweepstakes, entrants agree that RTM may use personal information (including email addresses) provided by entrants to administer this Sweepstakes and that RTM and Prestolite may use such information in accordance with their respective Privacy Policies located at www.powerblocktv.com/privacy and www.mrgasket.com/Privacy.aspx.

11. RULES REQUEST; WINNER’S NAME: For a copy of these Official Rules or for the name of the winner, please send a stamped, self-addressed envelope to RTM Productions, Inc., Attn: “Modern Muscle X”, 130 Southeast Parkway Court, Franklin, TN 37064. Residents of WA and VT may omit return postage.
